Terms of Service

1. Who we are

Panacea is a unified digital platform operated by Panacea Technologies ("Panacea", "we", "us") that lets you hold one citizen identity and use it across participating institutions — commerce, healthcare, education, financial services, logistics, and government services. These terms govern your use of the Panacea website, applications, and APIs (the "Services"). By creating an account or using the Services you agree to these terms.

2. Your account

You must provide accurate information when registering and keep your credentials confidential. You are responsible for activity under your account. We may require identity verification (including through government identity services such as Kenya's eCitizen) before enabling certain features. You must be at least 18 years old, or the age of majority in your country, to open an account.

3. Marketplace — buyers and sellers

Institutions may open stores and list goods and services; citizens may buy from them. Sellers must complete seller verification (KYB) before their store goes live, must hold any licences their goods or services require, and are responsible for the accuracy of their listings, for fulfilment, and for applicable taxes. Panacea provides the platform, payment orchestration, and escrow-style settlement; unless expressly stated, Panacea is not the seller of record. Payments are processed by third-party providers (e.g. M-Pesa, card processors); order amounts are computed server-side at checkout. Refunds and disputes follow the process in the app; refund amounts are capped at what was actually paid.

4. Healthcare, education, financial and government modules

Where the Services surface records held by institutions (clinics, schools, banks, government agencies), those institutions remain the controllers of their own records. Panacea moves data between institutions only with your explicit consent (see the Privacy Policy). Nothing in the Services is medical, legal, investment, or tax advice.

5. Acceptable use

You may not use the Services to break the law, infringe others' rights, list prohibited or counterfeit goods, upload malicious code, harvest data, impersonate others, or interfere with the platform's operation. We may suspend or remove content, listings, stores, or accounts that violate these terms, and we may report unlawful activity to authorities.

6. Fees

Marketplace sales carry a platform fee deducted from seller settlement, shown in the vendor dashboard. Government service fees and payment provider charges are disclosed at the point of payment.

7. Termination

You may close your account at any time from Portal → Privacy & data. We may suspend or terminate accounts for breach of these terms, fraud, or legal necessity. Some records survive account closure where the law requires retention (see the Privacy Policy).

8. Liability

The Services are provided "as is" to the maximum extent permitted by law. We do not exclude liability where it cannot lawfully be excluded. Otherwise, our aggregate liability for claims arising from the Services is limited to the fees you paid Panacea in the twelve months before the claim. Sellers are responsible for their goods and services; disputes between buyers and sellers are resolved through the in-app process first.

9. Changes and governing law

We may update these terms; material changes will be notified in-app and take effect no earlier than 14 days after notice. These terms are governed by the laws of Kenya, and disputes are subject to the courts of Kenya, without prejudice to mandatory consumer protections in your country of residence.
